Terms of Service

Provider: JLeader Foundations LLC, a New Jersey limited liability company ("JLeader Foundations", "we", "us"). Client: the business buying our services ("you"). By paying an invoice, accepting a proposal, or checking the agree box at checkout, you agree to these terms.

1. Plans

Starter. A Wix website build: $1,250 for 1 page or $1,750 for up to 3 pages (Fall special through December 21, 2026; after that, $1,500 and $2,000). Optional add-on, billed monthly, with a 3-month minimum (§3), then month to month:

• Care plan, $100/month. Small edits and fixes to your Wix site, as long as we hold collaborator access to it, up to the monthly edit cap in §7. It is available to Starter clients, to former Growth or Scale clients who cancel, and to clients with an existing Wix site we did not build (including Ads Only clients). It covers Wix sites only (no other platforms), and it ends automatically when our collaborator access is removed (§3a). It is included at no extra charge in the Growth and Scale plans. It also includes basic SEO and AEO upkeep (search engine and answer engine optimization: keeping your site's titles, descriptions, business details and page structure in shape so search engines and AI answer tools can find and describe you).

Growth. A website plus setup of your first lead-ad campaign, $3,250 one-time ($3,000 Fall special through December 21, 2026), then $950/month. The monthly fee includes the care plan (up to 2 hours of edits per month), ongoing management of all your campaigns while you are on the plan (monthly management, optimization, creative refresh, and a monthly report), up to 1 active campaign at a time, and 4 to 6 ad creatives per month. We may deliver more, but we commit to the low end (4). You pay Meta (or Google) directly for ad spend, at the budget we recommend in your proposal or the budget you choose. It also includes SEO and AEO (search engine and answer engine optimization, so you show up in Google and in AI answers such as ChatGPT and Google's AI results), at the depth listed in your proposal.

Scale. A website build plus setup of up to 3 lead-ad campaigns, $5,500 one-time, then $2,000/month. The monthly fee includes the care plan (up to 4 hours of edits per month), ongoing management of all your campaigns while you are on the plan (management, weekly optimization, creative refresh, bi-weekly reporting, and a monthly call), up to 3 active campaigns at a time, and 8 to 10 ad creatives per month. We may deliver more, but we commit to the low end (8). You pay the ad platforms directly for ad spend, at the budget we recommend in your proposal or the budget you choose. It also includes SEO and AEO (search engine and answer engine optimization, so you show up in Google and in AI answers such as ChatGPT and Google's AI results), at the depth listed in your proposal.

Ads Only. Managed Meta lead ads with no website: $250 one-time setup of your first lead-ad campaign, then $750/month. The monthly fee includes ongoing management of your campaign while you are on the plan (monthly management, optimization, creative refresh, and a monthly report), up to 1 active campaign at a time, and 4 to 6 ad creatives per month. We may deliver more, but we commit to the low end (4). Leads are collected with Meta instant forms, so no website is needed. You need a Facebook Page; an Instagram account is optional. You pay Meta directly for ad spend, at the budget we recommend in your proposal or the budget you choose. Ads Only does not include a website, website edits, the care plan, or SEO and AEO. Optional add-ons: a custom logo (see Logos), and, only if you have an existing Wix site, the care plan at $100/month on the care plan terms above. The creatives add-on is not offered on top of Ads Only, which includes its own creatives.

Creatives add-on (Starter clients and clients not on any package). $200/month for 4 creatives per month or $300/month for 8 creatives per month, delivered to you, month to month, cancel anytime. With this add-on we only supply ad creatives. You run and manage the ads yourself. We do not run, manage, launch, or optimize your ads, and we are not responsible for ad performance, ad account setup, or ad spend. We run and manage ads only for Ads Only, Growth, and Scale clients. The add-on is not offered on top of Ads Only, Growth, or Scale, which include their own creatives.

Active campaign. One "active campaign" is one live ad campaign (one offer or goal, with its ad sets) at a time. Pausing a campaign or replacing it with a new one is fine within your plan's limit.

Extra campaigns. Campaigns beyond your plan's limit (more than 1 active on Ads Only or Growth, more than 3 active on Scale) are billed at $100/hour, or approved case by case by Jason Leader, and agreed with you before we start.

Logos. Logo design is not included in any plan. You supply your own logo. If you do not have one, we set a clean text wordmark in your site's fonts at no charge. A custom logo design is an optional add-on at a flat $200, paid in full up front before work starts. It includes one free round of revisions; further revisions are $100/hour.

Fall pricing. Fall special prices apply only to agreements signed on or before December 21, 2026. Agreements signed after that date are at the regular prices.

What each plan includes, and the pages, assets, and campaign work covered, is listed in your written proposal. Anything not listed is out of scope and quoted separately.

2. Payment

• Starter builds (1-page or up to 3 pages): paid in full up front, before work starts.
• Ads Only setup fee ($250, one-time): paid in full up front, before work starts.
• Growth and Scale build and setup fees (one-time payments only): 50% to start, and 50% before launch. The 50/50 split applies only to these one-time build and setup fees.
• Monthly fees (care plan, Ads Only, Growth, Scale, creatives add-on): never split; always paid in full for the month, in advance, by card or bank transfer (ACH), starting on the first monthly charge. You authorize us to charge your card on file, or debit your bank account by ACH, each month until you cancel under §8.
• Billing date: the first monthly charge is made on your site's launch date (on Ads Only, the date your first campaign launches), and then on the same day each month.
• Credit card processing fee. If you pay with a credit card, a processing fee of 3% of the payment is added to that payment. This fee is charged by JLeader Foundations, not by your card company, and is never more than what we actually pay to process that credit card payment. It is shown on the invoice before you pay and listed separately on your receipt. Debit and prepaid cards are never charged this fee. To avoid it, pay by bank transfer (ACH) on the invoice, which has no added fee.
• Prices are in USD. Taxes, if any, are added. Late or failed payments may pause work and campaign management until paid.
• Ownership of final work transfers only after payment in full (§6).

3. Minimum term (all monthly plans)

Every monthly plan, including the care plan ($100/month), Ads Only, Growth, and Scale, has a 3-month minimum, starting on the date of the first monthly charge. You owe the monthly fee for those 3 months even if you cancel earlier. After the minimum, the plan continues month to month and you may cancel at any time under §8. The only exception is the creatives add-on, which has no minimum and can be cancelled anytime. The care plan included in Growth and Scale follows that plan's minimum and cancellation terms. If you cancel Growth or Scale after its minimum, you may keep the care plan on its own at $100/month, month to month, on the Starter care terms, with no new minimum term.

3a. Care plan scope and end. The care plan covers Wix sites only and only while we remain a collaborator on your Wix site. It ends automatically when you remove our collaborator access, and no further work or refund of the current month is owed. We are not responsible for problems on a site after our access is removed, or for content, code, apps, or changes made by you or anyone else, whether before or after we hold access. On Growth and Scale, removing our collaborator access ends only the care portion of the plan. It does not end or reduce the monthly fee or the 3-month minimum, which continue until you cancel under §3 and §8. For sites we did not build, we decide case by case whether to fix problems that existed before we started, and we tell you before we do any such work.

4. Ad accounts, ad spend, and platforms

• You own your ad accounts, your Meta Business portfolio, your Page and Instagram accounts, and your Google accounts. You give us access (partner or advertiser roles, not your password) only to do the work. You may remove our access at any time.
• Recommended ad spend is not a minimum. The budget we recommend in your proposal is a recommendation only. You choose your own budget, and it does not change our fees. If you spend less than our recommended amounts, or you change your budget, targeting, audience, or creative without us, we are not responsible for ad performance or lead volume.
• You pay ad platforms directly for ad spend, on your own payment method. We never hold, collect, or pay your ad spend. Our fees are separate from ad spend.
• Platform decisions are outside our control. Meta and Google may reject ads, limit or disable accounts, change policies, change pricing, or change how ads are delivered, at any time. We are not responsible for those decisions or for any resulting delay or loss.

5. NO GUARANTEE OF RESULTS

WE DO NOT GUARANTEE ANY RESULTS. We do not guarantee leads, calls, sales, jobs, revenue, ad performance, ad approval, cost per lead, return on ad spend, website traffic, search rankings, placement in AI answers, or any other outcome. We commit only to doing the work described in your proposal. Results depend on your offer, budget, area, competition, response time, and the platforms, which we do not control. Past results, samples, and estimates are not promises. If you spend less than our recommended ad spend, or change your budget, targeting, audience, or creative without us, we are not responsible for ad performance or lead volume (§4).

6. Ownership of work

• After payment in full, you own the final website content, ad creatives, and copy we deliver to you for your business, and may use them anywhere.
• For plans that include a website (Starter, Growth, Scale), we build your site on JLeader Foundations' own Wix account (Jason Leader's). Once the build or setup fee is paid in full, we transfer the site to your own Wix account, on a domain in your name. From then on you are the account owner, you pay your own Wix plan and domain directly, and we work on the site as collaborators.
• We keep our own tools, templates, methods, and general know-how, and may reuse them for others.
• You confirm you have the rights to everything you send us (logos, photos, text, reviews). We may use licensed stock or AI-assisted tools. Stock licenses pass to you as far as the license allows.
• We may show finished work in our portfolio unless you tell us in writing not to.
• Leads collected through forms and ads built for you, including Meta instant forms on Ads Only, belong to you. Ads Only includes no website, so the website terms in this section apply only to plans that include one.

7. Revisions, edits, and your responsibilities

• Build revisions: 1 free round of revisions on the initial build. A round is one combined list of changes sent together within 7 days of the preview. No reply within 7 days means the work is accepted. Further revisions are billed at the $100/hour edit rate and agreed with you before we start.
• Monthly edit hours: Care plan (Starter, cancelled Growth/Scale, or existing-site clients): up to 2 hours/month; Growth (care plan included): up to 2 hours/month; Scale (care plan included): up to 4 hours/month; Ads Only: no website edit hours (the care plan can be added only for an existing Wix site). Unused hours do not roll over. Extra edit hours beyond the cap, and extra work outside your plan on any plan including Ads Only, are $100/hour, and we agree to them with you before we start.
• You agree to: give timely feedback and approvals, provide accurate information and materials, respond to leads promptly, and make sure your offers, prices, claims, licensing, and warranties are true and allowed by law and by platform rules. Delays on your side pause our timelines.
• We write from the information you give us. We are not responsible for errors or false claims you supply.

8. Cancellation and refunds

• Monthly plans: after any minimum term, cancel by email with 30 days' notice. Cancellation takes effect at the end of the paid billing period, and no partial months are refunded.
• Before work starts: refund of amounts paid, minus payment-processing fees.
• After work starts: the build fee, deposits, and other one-time fees are non-refundable. The one exception: if we fail to deliver the site, you get a full refund of the build fee.
• Monthly fees (care plan, Ads Only, Growth, Scale, creatives add-on) already charged are non-refundable, unless special circumstances apply and Jason Leader personally approves a refund in writing.
• We may pause or end an engagement and refund unused prepaid amounts if we cannot do the work lawfully or safely (for example, prohibited offers, misleading claims, or abusive conduct).

9. Limits of liability

Our total liability for any claim is limited to the amount you paid us for the build (the one-time website build or setup fee, including the Ads Only setup fee), which is refundable only as stated in §8 (before work starts, or in full if we fail to deliver the site). Monthly fees (care plan, Ads Only, Growth, Scale, creatives add-on) are not part of the cap. If you pay only monthly fees and no build fee, our liability for any claim is limited to $0 in refunds, except that we may, at our sole discretion, refund monthly fees in special circumstances. We are not liable for indirect or lost-profit damages, ad platform actions, or third-party services (including Wix, Meta, and Google). Nothing in these terms limits liability that cannot be limited by law.

10. Other

These terms and your written proposal are our whole agreement. If they conflict, the proposal controls for scope and price. We may update these terms for future orders; changes do not affect an order already paid. Governing law is the State of New Jersey, and disputes go to the state or federal courts in Monmouth County, New Jersey.
